Soundsnap Sound Effects License

This is a license agreement between OJOO LIMITED, a Cyprus limited liability company, doing business as Soundsnap, and its successors and assigns ("Soundsnap" or "we" or "us" or "our") and you, or the entity on whose behalf you are entering this agreement with (“You,” "you", or "your") with respect to your non-exclusive usage of the copyrightable works of authorship offered under the terms of this License (including the sounds, sound effects, loops, sound recordings, and one-shots) (the “Sounds”) offered on our website and platforms (this “License”).

By purchasing a Subscription Level from us, you will receive a license to the Sounds based upon which Subscription Level that you purchase. You thus agree to be bound by the following license terms and conditions in relation to the sound recording you have downloaded:

This Soundsnap License is governed by the Terms of Service displayed on the website. Any use of the Sounds other than as authorized under this Sounds License, our Terms of Service, Privacy Policy, and Copyright Law is prohibited.

1. Definitions

a. "Creative Work(s)" means various creative work(s) that include the Sounds (or are based upon the Sounds), such as synchronization of, or inclusion in, the Sounds including moving images, video games, videos, podcasts, musical arrangements, dramatizations, sound recordings, multi-media artworks, productions, physical products, and/or any other form of creative works in which the Sounds may be included in, recast, transformed, synchronized with, and/or adapted.

b. "Original Author" means the individual or entity who created the Sounds.

2. License Grant

We currently offer two (2) Subscription Levels to use our Sounds. We may change, add to, and/or remove various Subscription Levels at any time. Our general license terms are below, but each Subscription Level contains certain permissions and restrictions within this broad license.

Subject to the terms and conditions of this License and the specific terms outlined in your specific Subscription Level, Soundsnap hereby grants You a worldwide, royalty-free, non-exclusive, revocable, perpetual (for the duration of the applicable copyright) license to exercise the following rights:

• To use, integrate, and sync the Sounds with Creative Works (such as films, TV shows, ads, recordings, video games, apps, websites, films, artworks, multi-media works, and various physical products).
• To copy, publicly transmit, publicly display, publicly distribute, publicly broadcast, and/or publicly show and transmit your Creative Works that include the Sounds.

The above includes the right to make such modifications to, edits to, and/or cuts of, the Sounds as are technically necessary to exercise the rights under this License.

We encourage you to attribute the creators of the Sounds that you use in your projects or the Soundsnap community where possible, but this remains entirely up to your discretion.

All rights not expressly granted to You under this License by Soundsnap, are hereby reserved by Soundsnap.

3. License Restrictions

The license granted above is expressly made subject to and limited by the following restrictions, regardless of your Subscription Level.

You may not:

• Resell, rent, sublicense, transmit, and/or distribute or re-distribute the Sounds ‘as they are’ in any context, this includes but is not exclusive to re-selling the sounds on CDs, torrents, and/or via any other online and/or technical distribution method.
• Use any sound, music loop, or one-shots to create expansion packs to distribute them through any mobile applications, plugins, or similar products. This includes, but is not limited to, putting our sounds and available content on any CD(s), websites, and/or digital platforms of any kind (either for a fee or for free).
• Use any sound, music loop, or one-shots for any trademark uses. This includes attempting to or actually registering any sound, music loop, or one-shots as a trademark for a business. (Uses in film alone as a fictional trademark, or ringtone, are permitted.)
• Offer or impose any terms on the Sounds that alter or restrict the terms of this License or the recipients’ exercise of the rights granted hereunder.
• Attempt to sublicense, rent, and/or sell the Sounds.
• Distribute, publicly display, publicly perform, or publicly digitally perform the Sounds with any technological measures that control access to, or use of, the Sounds in a manner inconsistent with the terms of this License.
• Copy all or a significant part of the Sounds on the Soundsnap website for the purpose of redistributing the Sounds “as is”.
• Use music loops (sounds labeled in the “Soundsnap Beats” licensed by Music Loops category) uploaded by ‘Loop Masters’ in isolation and unmodified in any medium. All music loops must be used in the context of an original music composition.
• Use the Sounds and any associated metadata or information in, or related to, (A) training machine learning models, whether generative or non-generative, and/or (B) in any artificial intelligence applications. To utilize any Sounds for such purposes, a special license or explicit permission is required. For inquiries, please contact us at the provided link.

4. Subscription Levels

Please note that your specific Subscription Level contains various parameters around your uses of the Sounds based upon which subscription plan you purchase. Our two (2) current subscription levels are described below.

A. SUBSCRIPTION DESCRIPTIONS

Pro Subscription: The Pro Subscription plan is designed for broad commercial uses including: social media content, such as videos, clips, and reels; online and web content; digital advertising content and campaigns; corporate videos, materials, and presentations, and podcasts. The Pro Subscription plan (i) helps our Customers support client work and monetization across unlimited channels, and (ii) allows the use of Sounds in applications with budgets up to $500,000 USD, as well as in films, shorts, ads, and trailers with budgets up to $500,000 USD. However, the Pro Subscription plan does not permit the use of the Sounds in broadcast Television, broadcast radio, out-of-home advertising, and/or any projects with budgets over $500,000USD.

However, the Pro Subscription plan does not permit the use of the Sounds in broadcast Television, broadcast radio, out-of-home advertising, and/or any projects with budgets over $500,000 USD.

Pro+ Subscription: Our Pro+ Subscription plan caters to larger scale and higher budget projects than our Pro Subscription. Our Pro+ Subscription plan includes all the benefits, rights, and access of our Pro Subscription Level, with added ability to use our Sounds in broadcast Television, broadcast radio, VOD/OTT platforms, and out-of-home advertising. Our Pro+ Subscription plan also covers use in apps, films, and video games with budgets over $500,000 USD.

B. CHANGES TO SUBSCRIPTION LEVELS

You recognize and agree that (i) we may change the terms of our Subscription Levels and permitted uses from time to time, (ii) we will post any changes to our Subscription Levels on our Platforms, and (iii) you agree to such updated terms and restrictions by your continued access to your Subscription Level(s).

If you have an Account with us prior to our changing to Subscription Level model, your Account will automatically convert to the Subscription Level that is commensurate with your current Account permissions.

If you downloaded any Sounds prior to our changing to Subscription Level model, your downloaded Sounds will automatically (and to continue to) have the rights granted under the commensurate Subscription Level.

5. Term of License; Termination Of License

Subject to the above terms and conditions, the license granted here is perpetual (for the duration of the applicable copyright in each of the Sounds). Notwithstanding the above, Soundsnap reserves the right to release the Sounds under different license terms or to stop distributing any Sound(s) at any time; provided, however that any such election will not serve to withdraw this License (or any other license that has been, or is required to be, granted under the terms of this License), and this License will continue in full force and effect unless terminated as stated above.

Pursuant to our Terms of Service, this License and the rights granted hereunder will terminate automatically upon any breach by You of the terms of this License. Individuals or entities who have received Creative Works from You under this License and using the Sounds in accordance with the terms of this license, however, will not have their licenses terminated provided such individuals or entities remain in full compliance with those licenses.
